End User License Agreement
Plain-language terms for the license you buy.
1. Parties and acceptance
This agreement is between you and Ronen Aruch, the developer and owner of GanttPulse (the final legal entity will be named here before checkout opens). Installing or using GanttPulse means you accept these terms. If you accept on behalf of a company, you confirm you are authorized to bind it, and “you” then includes that company.
2. The license you buy
One GanttPulse license is one seat: it covers one named person. That person may activate it on up to two machines they use, for example a work PC and a home PC. A machine change is a free reissue: contact us and we issue a replacement key for the new machine. The license is perpetual, it never expires, and there is no recurring charge to keep using the version you bought. Licenses validate offline using public-key cryptography: there is no activation server and the app never contacts us. A company may buy multiple seats and may permanently reassign a seat when a person leaves; a single seat is never used by two people at the same time.
3. Trial and beta keys
Trial keys and free-beta keys are time-limited and expire on their stated date. During the beta the software is provided as-is, without charge, for evaluation and feedback. Your project files always remain yours and can be exported at any time, regardless of license state.
4. Updates and upgrades
Your license includes every update released during the twelve months following your purchase, major versions included, and those versions remain licensed to you permanently. After that period the Software keeps working in full, with every feature your license covers; there is no expiry on use. Further updates are available by optional renewal, and declining to renew never degrades or disables what you already bought.
5. Your data
Your projects are files on your own machine or server. We never receive, store, or process them, and nothing in this agreement gives us any rights over your data. If you use the AI assistant, content you choose to send goes directly to the AI provider you configured, under that provider's terms; we are not in that path.
6. AI features
The AI assistant is optional and calls the provider you configure, authenticated with your own API key, under that provider's terms. You are responsible for what you choose to send it and for reviewing what it returns. AI output can be wrong: it is assistance, not professional advice, and planning decisions remain yours.
7. Backup copies
You may keep reasonable backup copies of the installer and of your license key for your own use. Your project files are ordinary files on your systems; back them up like the rest of your data.
8. Third-party components
GanttPulse includes open-source components that are licensed under their own terms; the list of components and licenses ships with the app. Those licenses govern those components, and this agreement governs everything else.
9. What you may not do
You may not resell, rent, sublicense, or redistribute the software or your license key; share a key beyond the machines the license covers; let more than one person use the same seat concurrently; remove or defeat the license mechanism; or reverse-engineer the software except where the law expressly permits it.
10. No warranty
The software is provided “as is”, without warranty of any kind, to the maximum extent permitted by law. We work hard to make it reliable (and publish our testing practices), but you are responsible for backing up your own files; they live on your infrastructure, not ours.
11. Limitation of liability
To the maximum extent permitted by law, our total liability under this agreement is limited to the amount you paid for your license. We are not liable for indirect or consequential damages, including data loss on your own systems.
12. High-risk use
GanttPulse is a project-planning tool. It is not designed or licensed for use in systems where a failure could cause death, personal injury, or severe physical or environmental damage.
13. Termination
This license ends automatically if you materially breach it (for example, by redistributing keys). On termination you must stop using the software; sections about data ownership, warranty, and liability survive.
14. License transfer
You may transfer your license permanently to another person or company if you transfer it whole: you stop using it on all machines, hand over the key, and the new holder accepts these terms. Tell us at [email protected] so we can update our records and support the new holder.
15. Changes to these terms
We may update these terms for future versions and future purchases. The terms in force when you bought keep governing the license you bought. Updated terms are published here with a new date.
16. Governing law
This agreement is governed by the laws of the State of Israel, without regard to conflict-of-law rules. Nothing in it limits consumer rights that applicable law grants you and that cannot be waived.
17. General
If any part of this agreement is found unenforceable, the rest remains in force. This is the entire agreement about the software and replaces earlier drafts and statements. A failure to enforce a term once is not a waiver of it.
